Mr. John Molenaar (1970) is engaged in corporate and securities law. In corporate law matters he is engaged in transaction with respect to the sale and purchase of corporations and in transactions with which an investors participates in the capital of corporations. In these matters he assists buyers, purchasers, investors or acts on behalf the corporations inwhich is invested. In addition mr. Molenaar advises directors, supervisory directors and shareholders on issues of corporate governance, especially in the event of disturbed relations or mismanagement. Mr. Molenaar conducts legal (inquiry) proceedings before the Enterprise section of the Amsterdam court of appeals on a regular basis and advises cliënts about the statutory inquiry procedings. During his study at the University mr. Molenaar was a visiting scholar at Boalt Hall Law School in Berkeley, U.S.A, where he studied U.S. corporate law. In 2002 mr. This advice includes queries with respect to access to the capital markets and the legal structure of financial products. Regularly his assistance is required with the offering of securities, also when listing of these securities on a stock exhchange is not pursued. This assistence also includes the drafting of contracts and other required documents, such as the conditions of subscription. Mr. Molenaar serves corporations which requires his assistance as a result of the supervisory activities on the financial markets by the Netherlands Authority for the Financial Markets and the Dutch Central Bank. In the past years mr. Molenaar has succesfully assisted corporations and wealthy individuals in conflicts with financial institutions, also with respect to investment losses.
